Terms of Service

1. General Provisions

These Terms and Conditions define the rules for providing services by PP Solutions Przemysław Pietrzak with its registered office in Warsaw, Szczęsna 26, 02-454 Warsaw, Poland, NIP: 5993248563, REGON: 386176659 (hereinafter: "Service Provider" or "PP Solutions").

2. Definitions

  • Service Provider - PP Solutions Przemysław Pietrzak
  • Client - a business customer (an individual acting professionally or commercially, a legal entity, or an organizational unit) using the services for business purposes; the automated proposal path is not offered to consumers
  • Service - creation of software, web applications and mobile applications
  • Site - PP Solutions website
  • Client Panel - dedicated system for project management

3. Scope of Services

PP Solutions provides the following services:

  • Creation of web applications
  • Creation of mobile applications
  • User interface design
  • IT consulting
  • Technical support
  • System analysis and optimization

4. Cooperation Terms

Cooperation commencement requires:

  • Confirmation in the Client Panel that the agreement is entered into as a business customer for professional or commercial purposes; consumer inquiries require a separate path and terms
  • Explicit acceptance of the individual proposal and these Terms in the Client Panel; this enters into an agreement in documentary form unless the proposal or applicable law requires written form or equivalent QES
  • Determining the scope of work and schedule
  • Establishing payment terms
  • Providing necessary materials

5. Client Rights and Obligations

The Client is obliged to:

  • Timely provision of information and materials
  • Respecting the project schedule
  • Timely payment of fees
  • Respecting copyright
  • Not disclosing access data to third parties

6. Provider Rights and Obligations

The Service Provider is obliged to:

  • Performing services in accordance with the agreement
  • Maintaining Client information confidentiality
  • Informing about work progress
  • Granting a licence or transferring rights only within the scope and form specified in the individual agreement
  • Providing technical support

7. Payment Terms

Payments are made according to the individual proposal, checkout and invoice. In particular:

  • The amount, currency, schedule and due date shown in the accepted proposal or invoice are binding
  • Work may start only after receipt of a payment identified as a start fee or advance
  • Sole-trader invoices follow the Provider's current tax status, including the Polish cash-accounting notation where applicable
  • A payment delay may move the delivery schedule accordingly

8. Copyright

After payment, the Client receives a non-exclusive licence needed to use the delivered results for the project purpose. A transfer of economic copyright or an exclusive licence occurs only under a separate agreement satisfying the required written form or electronic form with QES and explicitly listing the fields of exploitation, including:

  • fixation and reproduction within the scope stated in the agreement
  • use, operation and modification of software for the Client's business purposes
  • distribution or making available only where the individual agreement expressly permits it
  • exercise of derivative rights only to the extent expressly agreed by the parties

9. Warranty and Support

The warranty, maintenance and support scope follows the individual proposal or SLA. Unless the proposal states otherwise:

  • defects are assessed against the agreed scope and acceptance criteria
  • development, scope changes and third-party integrations require a separate agreement
  • response times and availability apply only under an active SLA
  • these terms do not restrict any mandatory rights of the Client

10. Liability

The Service Provider is not liable for:

  • Losses resulting from improper use
  • Problems caused by third parties
  • Force majeure and unforeseen events
  • Delays resulting from Client's fault

11. Contract Termination

The agreement may be terminated:

  • By mutual agreement of the parties
  • In case of gross violation of terms
  • In case of insolvency of one of the parties
  • With 30-day notice period

12. Final Provisions

In matters not regulated in these Terms and Conditions, the following shall apply:

  • Civil Code provisions
  • Copyright and Related Rights Act
  • Act on Providing Services by Electronic Means
  • General IT Contract Terms
